Production legal documents
Last updated June 8, 2026. Version 2026-06-production-v1.
Agreement
These Terms govern access to Switchboard by the company, organization, sole proprietor, or other business that creates an account or uses the Service. If a signed order form or negotiated agreement is in effect for the same account, that signed agreement controls where it conflicts with these Terms.
Service
Switchboard provides a hosted AI gateway, project-scoped credentials, hosted backend URLs, hosted end-user authentication, usage metering, developer-paid billing, end-user paid billing through Stripe Connect, dashboards, exports, SDKs, CLI tools, and related documentation. Switchboard may improve or change the Service over time while preserving commercially reasonable continuity for active customers.
Accounts and API credentials
Customers are responsible for account users, workspace membership, project configuration, allowed origins, mobile allowlists, API keys, end-user sessions, and all activity under their credentials. Secret project keys, account sessions, provider API keys, and webhook secrets must not be embedded in browser or mobile code.
Developer customer responsibilities
Customers remain responsible for their own products, customer relationships, customer terms, privacy notices, support, refund policies, and compliance with laws that apply to their use of Switchboard. Before live hosted checkout, Customers must configure customer-facing terms, privacy, and support links for their project.
AI providers and model output
Switchboard routes requests to upstream AI providers such as OpenAI. Customers are responsible for prompts, outputs, use cases, evaluations, disclosures, human review where appropriate, and compliance with provider terms and policies. AI output may be inaccurate, incomplete, or unsuitable for a particular use.
Billing and payment
Switchboard may charge for developer-paid usage, platform fees, subscriptions, usage events, overages, or other fees shown in the product or agreed order. Metered charges are based on recorded usage events and may be estimated before provider reconciliation. Stripe and connected accounts may process payments, invoices, refunds, disputes, and billing portal activity.
Suspension and enforcement
Switchboard may limit, suspend, or terminate access if it reasonably believes activity is unlawful, abusive, risky to the platform or payment processors, inconsistent with these Terms, or harmful to Switchboard, customers, end users, providers, or third parties. Suspension may include revoking API keys or blocking live usage.
Confidentiality and data
Each party will protect non-public business, technical, product, security, and pricing information received from the other party using reasonable care. Switchboard handles personal information as described in the Privacy Policy and, where applicable, the Data Processing Addendum.
Disclaimers and liability
The Service is provided on a commercially reasonable basis for business use. Except for commitments expressly stated in these Terms, Switchboard disclaims implied warranties to the maximum extent permitted by law. Liability limits, exclusions, indemnities, and mandatory exceptions should be reviewed against final company requirements before execution.
Governing law
These Terms are governed by the laws of Alberta, Canada and the federal laws of Canada applicable there, unless a signed agreement states otherwise. The parties will first try to resolve disputes in good faith before starting formal proceedings.
